1. Agreement to Terms

By accessing or using Codedabhands' website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

Codedabhands provides digital product engineering services including but not limited to:

• Custom software development
• Mobile application development
• Web development and design
• AI and machine learning solutions
• Cloud services and DevOps
• UI/UX design services
• Digital transformation consulting

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete project requirements
• Respond to communications in a timely manner
• Make payments according to agreed terms
• Provide necessary access, credentials, and resources
• Review and approve deliverables within specified timeframes
• Comply with all applicable laws and regulations

4. Intellectual Property

Client Ownership

Upon full payment, clients receive ownership rights to custom-developed code and deliverables as specified in individual project agreements.

Codedabhands Ownership

We retain ownership of pre-existing tools, frameworks, methodologies, and general knowledge developed independently or prior to the engagement.

5. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes business strategies, technical specifications, trade secrets, and any information marked as confidential.

6. Payment Terms

• Payment terms are specified in individual project proposals
• Invoices are due within 15 days unless otherwise agreed
• Late payments may incur interest charges
• We reserve the right to suspend work for overdue accounts

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. However, we do not guarantee that software will be error-free or uninterrupted.

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

To the maximum extent permitted by law, Codedabhands shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Our total liability shall not exceed the amounts paid by the client for the specific services giving rise to the claim.

9. Termination

Either party may terminate an engagement with 30 days written notice. Upon termination, the client shall pay for all work completed up to the termination date. We will provide all completed deliverables and assist with transition.

10. Dispute Resolution

Any disputes arising from these terms shall first be attempted to be resolved through good-faith negotiation. If unsuccessful, disputes shall be resolved through arbitration in accordance with applicable laws.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
